# Terms of Service > Morgan AI Terms of Service. By creating an account, downloading the app, or using the Service, you agree to these Terms and to our [Privacy Policy](https://trymorgan.ai/privacy), which is incorporated by reference. ## 1. Agreement and acceptance These Terms constitute a legally binding agreement between you and Morgan AI, Inc. ("Morgan AI," "we," "us," or "our"). If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time. If we make material changes, we will notify you by email, in-app notice, or by posting an updated version on this page. Continued use after the effective date constitutes acceptance. ## 2. Eligibility and account registration To use the Service, you must be at least 18 years of age, have legal capacity to enter a binding contract, provide accurate registration information, and use the Service only for lawful business purposes in supported regions. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@trymorgan.ai if you suspect unauthorized access. ## 3. Description of the Service Morgan AI provides software for solo and small service businesses to accept payments, send invoices, record income and expenses, manage customer information, and generate financial reports. Morgan AI is a software platform. We are not a bank, money transmitter, payment card network, or merchant of record for payments you accept from your customers. Card payment processing is provided by Stripe, Inc. When you enable payment features, you also agree to the [Stripe Connected Account Agreement](https://stripe.com/legal/connect-account) and [Stripe Services Agreement](https://stripe.com/legal/ssa). ## 4. Third-party services The Service integrates with Stripe (payment processing), Apple App Store and Google Play (subscriptions), Apple Tap to Pay on iPhone, and cloud infrastructure providers. We are not responsible for third-party services we do not control. ## 5. Acceptable use You agree not to use the Service for unlawful purposes, prohibited businesses, fraud, sanctions violations, spam, scraping, security circumvention, or interference with the Service. Stripe's [restricted businesses list](https://stripe.com/legal/restricted-businesses) applies to payment processing. ## 6. Payment processing terms When you accept card payments, you are the merchant of record. You are responsible for your sales, refunds, customer service, taxes, chargebacks, and legal compliance. - **Fees:** Standard Stripe processing fees apply. Morgan AI does not add transaction fees unless stated in the app or on our pricing page. - **Payouts:** Funds settle to your connected bank account per Stripe's schedule and policies. - **Refunds and chargebacks:** You are responsible for refunds and dispute responses. Chargebacks may be deducted from payouts. - **Taxes:** You are responsible for taxes on goods and services you sell. ## 7. Subscriptions and billing Morgan AI offers a free plan and a paid Pro plan billed monthly. New Pro subscribers may receive a 14-day free trial. App Store and Google Play subscriptions are managed by Apple or Google. Deleting your account does not automatically cancel app store subscriptions. Subscription fees are non-refundable except where required by law. ## 8. Your content and customer data You retain ownership of business data you create in the Service. You grant Morgan AI a license to host and process your content to provide the Service. You are responsible for the accuracy of your records and for communications sent to your customers. ## 9. Intellectual property The Service is owned by Morgan AI and protected by intellectual property laws. You receive a limited, non-transferable license to use the Service for your business purposes. Feedback you provide may be used by us without restriction. ## 10. Communications By using the Service, you consent to receive account, billing, security, and service-related communications electronically. You may opt out of non-essential marketing emails. ## 11. Privacy Our collection and use of personal information is described in our [Privacy Policy](https://trymorgan.ai/privacy). ## 12. Disclaimer of warranties THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW. ## 13. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORGAN AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO MORGAN AI IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) CAD $100. ## 14. Indemnification You will defend and indemnify Morgan AI against claims arising from your use of the Service, your business, your content, your violation of these Terms, payment disputes, or disputes with your customers. ## 15. Suspension and termination You may terminate your account at any time. We may suspend or terminate access for violations, fraud, excessive chargebacks, or legal requirements. Upon termination, you may export data before deletion. We delete account data within 30 days except where retention is required by law. ## 16. Dispute resolution Contact hello@trymorgan.ai and allow 30 days to resolve disputes informally. These Terms are governed by the laws of Ontario, Canada. Disputes will be brought in Ontario courts, except where mandatory consumer protection laws provide otherwise. ## 17. General terms These Terms, with the Privacy Policy, constitute the entire agreement. If a provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger or sale. We are not liable for events beyond our reasonable control. ## 18. Apple App Store terms If you downloaded the iOS app from the Apple App Store, these Terms are between you and Morgan AI only, not Apple.
